Vendor Terms of Service

1 – Definitions

Within this document, the following definitions apply:

• Content: Refers to all textual, visual or audio material that you encounter during your use of Artsy Craftsy.co.uk. This includes, but is not limited to, text, images, sounds, videos, animations, advertising materials, and any other product or service-related information posted by you.
• Artsy Craftsy.co.uk: Denotes any website owned or operated by us, including all web pages under our control.
• Post: Means to place any content or material of any kind on or into Artsy Craftsy.co.uk, by any method.
• Product: Any item that you offer for sale on Artsy Craftsy.co.uk.
• Service: Includes all services provided by Artsy Craftsy.co.uk, whether free or paid.

2 – Our Contract

This section outlines the relationship and contractual obligations between you and Artsy Craftsy:

• 2.1 The relationship between us is defined as follows:
• 2.1.1 In exchange for a fee, we provide you with an online marketplace as an independent contractor.
• 2.1.2 Our role as your agent is restricted solely to collecting payments from your buyer-customers.
• 2.1.3 We are not publishers, partners, or joint venture participants.
• 2.2 By listing a product for sale on the website, you agree to be bound by these terms.
• 2.3 We reserve the right to amend this agreement at any time. The version of the agreement that applies is the one posted on Artsy Craftsy.co.uk at the time the contract is made.
• 2.4 While we are not a party to your contract with buyers introduced via Artsy Craftsy.co.uk, we may remove your products from the website if a valid complaint is received from a customer or site visitor.
• 2.5 Subject to these terms and any procedures set out on our website, you may offer products or services for sale through Artsy Craftsy.co.uk.

3 – Your Artsy Craftsy Listing

By listing items on Artsy Craftsy, you agree to:

• 3.1 Indemnify us against any claims relating to any product, including reasonable management and legal costs.
• 3.2 Indemnify us for any expenses incurred in protecting our reputation, including payments made to your customers where you have failed to make repayment or otherwise fulfil your contract.
• 3.3 Not knowingly list any product for sale that is not of merchantable quality or that requires technical expertise not fully explained to the customer before purchase.
• 3.4 Make appropriate arrangements for the delivery of each product, including keeping in active communication with the buyer.
• 3.5 Remove from sale any product you are unable to supply for any reason.
• 3.6 Refrain from re-listing any product that we have removed from sale.

4 – Delivery of Products

• 4.1 Physical products must be shipped from your premises, via post or a carrier of your choosing.
• 4.2 On the date of dispatch, you must notify both the customer and Artsy Craftsy.co.uk by updating the order status to ‘shipped’ in your Vendor account.
• 4.3 If notified of non-delivery by a customer within the delivery timeframe you offered, you must promptly investigate, inform the buyer of your actions, and provide an estimated delivery date.
• 4.4 Unless otherwise stated, you agree to dispatch products within three days of receiving an order notification, using a method likely to reach the buyer within an additional seven days.
• 4.5 If a customer has not received a product within the expected timeframe, you must refund the payment, including delivery charges, via Stripe. This is a contractual requirement to protect both your reputation and ours.

5 – Products Returned

When handling product returns, you agree to:

• 5.1 Respond promptly, and within 48 hours, to any customer communications or correspondence.
• 5.2 Comply with all laws relevant to the contract between you and your customer.
• 5.3 Return payments to customers immediately when required by the contract.
• 5.4 Notify customers immediately if goods purchased are unavailable.
• 5.5 Adhere to Artsy Craftsy procedures for order satisfaction, returns, and payments as outlined on our website.
• 5.6 Provide us with information regarding claims of non-delivery and disputes over payment, to assist us in identifying potential fraud.

6 – The Selling Procedure

• 6.1 Artsy Craftsy is not responsible for fulfilling your contract to sell a product.
• 6.2 Products are offered for sale at a fixed price, subject to discounts and promotions. VAT, if applicable, will be included in the price or shown separately; if not shown, it will not be charged.
• 6.3 A contract to sell is binding as soon as payment is accepted by our payment provider (Stripe) or you have accepted via messaging the buyer.
• 6.4 All sales are subject to applicable laws and only those rights expressly stated in this document.
• 6.5 Sales are subject to buyer terms and conditions, which you agree to comply with. You may view these at any time on Artsy Craftsy.co.uk.
• 6.6 If the buyer does not pay, we may re-list your item.
• 6.7 Artsy Craftsy acts solely as an intermediary between buyer and Vendor and cannot be held liable for injury or crime at a meet-up; we are only the introducer.

7 – Order Fulfilment

• 7.1 We will notify you by email for each sale, providing full details of the transaction.
• 7.2 You must follow the steps outlined in your listing to ensure safe and efficient delivery of your product to the buyer.
• 7.3 Failure to deliver the product will result in a Stripe dispute, during which your funds may be withdrawn. For more details, visit: https://support.stripe.com/topics/disputes

8 – Fees

By registering as a Vendor on Artsy Craftsy, you agree to the following fee terms:

• 8.1 Products are sold at the price you set, subject to these terms and any requirements we specify on Artsy Craftsy.co.uk.
• 8.2 Our selling system is automated and accessible via a control panel.
• 8.3 All payments and transactions must be processed through Stripe, ensuring all transactions are recorded and disputes can be resolved via Stripe.
• 8.4 If we determine that your performance results in significant chargebacks or disputes, or if you breach this agreement, we may withhold payments until issues are resolved.
• 8.5 All Stripe payment processor fees must be paid when making a sale. For current pricing, visit: https://stripe.com/gb/pricing
• 8.6 Seller subscription payments are non-refundable upon cancellation, for both monthly and yearly subscriptions.

9 – Advertising of Your Product

You grant us permission to advertise, market, and promote your product on social media platforms such as Twitter and Facebook.

10 – Your Product Warranties

You warrant that any product you list for sale on Artsy Craftsy.co.uk:

• 10.1.1 Is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing on intellectual property rights, or harmful to any third party.
• 10.1.2 Does not violate the laws of any country whose citizens may purchase it.
• 10.1.3 Is not primarily intended to advertise any business other than your own, as conducted through Artsy Craftsy.

You also warrant that you own the copyright for any product listed, or have permission from the copyright owner to:

• 10.2.1 List the product for sale on Artsy Craftsy.co.uk.
• 10.2.2 Receive the net proceeds of sales.
• 10.2.3 Defend the copyright in the product.

11 – How We Handle Your Content

• 11.1 Content posted in any public area of Artsy Craftsy.co.uk becomes available worldwide; we cannot control who views or uses it.
• 11.2 You irrevocably authorise us to publish feedback, comments, and ratings about your products, services, and activities, even if they are critical or defamatory.
• 11.3 Posting content does not affect your ownership of copyright. We make no claim over it and do not protect your rights.
• 11.4 You are personally responsible for any breaches of intellectual property, defamation, or law resulting from content you post.
• 11.5 You accept all risks and responsibility for determining whether content is public domain and not confidential.
• 11.6 Please inform us immediately of any security breach or unauthorised use of your account.

12 – Restrictions on What You May Post to Our Website

We invite you to post content to Artsy Craftsy.co.uk for marketing your products and services and other purposes. However, to protect our business, staff, users, and to comply with the law, we regulate usage as follows:

• Our moderators frequently review listed items.
• You must not use Artsy Craftsy.co.uk to post content or engage in activities that:
• 12.1 Are unlawful or incite others to commit crimes.
• 12.2 Are obscene, offensive, threatening, violent, malicious, or defamatory.
• 12.3 Are sexually explicit or pornographic.
• 12.4 Promote discrimination or animosity based on gender, race, religion, nationality, disability, sexual orientation, or age.
• 12.5 Harass, intimidate, bully, upset, embarrass, alarm, or annoy others.
• 12.6 Deceive or impersonate others, misrepresent identity, age, or affiliation.
• 12.7 Imply content emanates from us.
• 12.8 Are made on behalf of or impersonate another person.
• 12.9 Solicit responses unrelated to the purpose of Artsy Craftsy.co.uk or the terms of this agreement.
• 12.10 Promote or endorse illegal activities, or provide instructions or information about illegal or prohibited activities (e.g., making or buying illegal weapons, stalking, providing computer viruses, distributing pirated media).

13 – Your Posting: Restricted Content

We reserve the right to refuse, edit, or remove any posting that does not comply with these terms. In addition to the above restrictions, postings must not contain:

• 13.1 Unauthorised hyperlinks.
• 13.2 Irrelevant repeated keywords or words.
• 13.3 Personal information such as names, contact details, or addresses.
• 13.4 The name, logo, or trademark of any organisation other than your own.
